1. Overview and acceptance of terms

This website (https://www.trevislabs.com) is operated by FRD Labs Gaming Studios FZCO, Dubai (DUQE Free Zone) ("Company", "we", "us"). These Terms of Service ("Agreement") govern your access to and use of the website (the "Site") and the materials made available on the Site (the "Content"), as well as any services we may provide to you (the "Services"). By accessing or using any part of the Site, you agree to the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, you should not access the Site or use the Services.

2. Eligibility and age restrictions

The Site is not directed to children under the age of 13. By accessing or using the Site, you represent and warrant that you are at least 13 years of age.

3. Consumer Rights Carve-Out

If you are a consumer, nothing in these Terms limits your rights under the mandatory consumer protection laws of your country of residence. This applies to consumers in the European Union/EEA (e.g., EU Directive 2011/83/EU), the United Kingdom (e.g., Consumer Rights Act 2015), and any other jurisdiction with mandatory consumer protections. In the event of a conflict between these Terms and mandatory consumer laws in your jurisdiction, the local laws shall prevail.

4. Changes to the Terms of Service

FRD Labs Gaming Studios FZCO reserves the right to modify this Agreement at any time. If we make changes to this Agreement, we will provide notice of such changes by updating the date at the top of this Agreement and posting the revised Agreement on the Site. Your continued use of the Site following any changes to this Agreement constitutes your acceptance of the revised Agreement.

1. License and limitations

Subject to your compliance with this Agreement, FRD Labs Gaming Studios FZCO grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and Services for your internal business purposes. If we provide you with Services, the specific scope, deliverables, timelines, and commercial terms will be set out in a separate written agreement, proposal, or statement of work.

2. Ownership and intellectual property rights

All intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Services and Content are owned by FRD Labs Gaming Studios FZCO. Except as expressly granted in this Agreement, you have no rights, title, or interest in or to the Site, the Content, or any related intellectual property rights.

3. Compliance with laws

You agree that your use of the Site and Service will comply with all applicable laws and regulations of your jurisdiction, as well as those of the United Arab Emirates.

4. Modifications to services

FRD Labs Gaming Studios FZCO reserves the right, at any time, to modify, suspend, or discontinue any of our Services (in whole or in part) with or without notice to you. You agree that FRD Labs Gaming Studios FZCO will not be liable to you or to any third party for any modification, suspension, or discontinuation of our Services or any part thereof.

1. Accounts

Certain features of the Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and to keep it up to date.

2. Engagement terms

Any professional services we provide (including consulting, design, development, production, or related deliverables) are provided on a project basis and are subject to a separate written agreement, proposal, or statement of work that specifies scope, deliverables, timelines, acceptance criteria, and pricing. If there is a conflict between this Agreement and a signed statement of work or services agreement, the signed services agreement will control for that engagement.

3. Fees, invoicing, and payment

Fees and payment terms for any engagement will be stated in the applicable proposal or statement of work. Unless otherwise agreed in writing, invoices are due upon receipt. Late payments may result in suspension of work, delayed delivery, or termination of the engagement, in addition to any other remedies available under applicable law.

4. Refunds and Right of Withdrawal

Payments are non-refundable except where required by applicable law or expressly agreed in writing. Where applicable, you agree to reimburse reasonable, pre-approved out-of-pocket expenses incurred in performing the Services.

Notice to EU/UK Consumers: Under applicable consumer laws, you may have the right to withdraw from a distance contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day of the conclusion of the contract. However, you acknowledge and agree that if you explicitly request us to begin the performance of the Services before the expiry of the 14-day withdrawal period, you will lose your right of withdrawal once the service has been fully performed, and must pay for any services provided up to the point you communicate your withdrawal.

1. Compliance with the Agreement

You agree to use the Site and Services in accordance with this Agreement and all applicable laws and regulations.

2. Prohibited Activities

You agree not to engage in any activities that violate this Agreement, infringe on the rights of FRD Labs Gaming Studios FZCO or any third party, or otherwise interfere with the proper functioning of the Site or Services.

3. Electronic communications

By using the Site and Services, you may choose to receive electronic communications from FRD Labs Gaming Studios FZCO by explicitly requesting them or subscribing to them. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. FRD Labs Gaming Studios FZCO will not send unsolicited communications to users unless they have explicitly requested or subscribed to receive them.

1. Linking to the Site

You may link to the Site, provided you do so in a way that is fair and legal and does not damage or take advantage of our reputation. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

2. Third-party links on the Site

The Site may contain links to third-party websites. FRD Labs Gaming Studios FZCO is not responsible for such websites' terms of use or privacy policies or how they may treat your information. Your use of third-party websites is at your own risk and subject to the terms of use and privacy policies of such sites.

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, FRD Labs Gaming Studios FZCO disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that data will not be lost or corrupted.

2. Limitation of liability

To the maximum extent permitted by applicable law, in no event will FRD Labs Gaming Studios FZCO be liable to you for any special, incidental, exemplary, indirect, punitive, or consequential damages (including loss of profits, revenue, data, goodwill, or business interruption) arising out of or related to this Agreement or your use of (or inability to use) the Site or Services, whether based on contract, warranty, tort (including negligence), strict liability, or otherwise, and whether or not you have been advised of the possibility of such damages. To the maximum extent permitted by applicable law, FRD Labs Gaming Studios FZCO's aggregate liability under this Agreement will not exceed the total fees paid by you to FRD Labs Gaming Studios FZCO for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

1. User's indemnification obligations

You agree to indemnify, defend, and hold harmless FRD Labs Gaming Studios FZCO and its affiliates, officers, directors, employees, shareholders, and representatives from and against any and all losses, liabilities, expenses, damages, costs (including attorneys' fees and court costs), claims or actions of any kind whatsoever arising or resulting from your use of the Services other than as expressly authorized by and pursuant to the terms of these Terms of Service, and your violation of these Terms of Service.

1. Arbitration

Except as otherwise provisioned by mandatory consumer laws in your jurisdiction, any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules then in force. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Dubai, United Arab Emirates. The language to be used in the arbitral proceedings shall be English. Any judgment or award rendered by the arbitrator will be final and binding.

2. Governing law and jurisdiction

Subject to the mandatory consumer protection laws of your country of residence, this Agreement is governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflicts of law principles. For any disputes not subject to arbitration, the exclusive jurisdiction and venue are the courts of Dubai, UAE.

1. Termination by User

If you no longer agree to be bound by these Terms of Service or wish to terminate this Agreement, you must immediately cease your use of the Site and Services. Your right to use the Site and Services is subject to your compliance with these Terms of Service, and termination of your access to the Site and Services may occur if you violate any term or condition of this Agreement.

2. Termination by FRD Labs Gaming Studios FZCO

FRD Labs Gaming Studios FZCO may suspend, restrict, or terminate your access to the Site or Services (in whole or in part) with or without notice if we reasonably believe: (a) you have breached this Agreement; (b) your use of the Services poses a security risk, may harm the Services or other users, or may subject us to liability; (c) required to do so by law, regulation, or a valid legal process; or (d) you have failed to pay applicable fees when due. We may also discontinue the Services (in whole or in part) as described in this Agreement.

3. Effect of Termination

Upon termination of this Agreement, your right to access and use the Site and Services will cease. Any provisions that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution. Termination will not affect any accrued rights or liabilities of either party.

1. Force majeure

FRD Labs Gaming Studios FZCO will not be required to perform or be held liable for failure to perform if non-performance is caused by events beyond the control of FRD Labs Gaming Studios FZCO, including, but not limited to, acts of God, war, hostilities, natural disasters, or other similar events.

2. Entire agreement

These Terms of Service constitute the entire agreement between you and FRD Labs Gaming Studios FZCO regarding the Site and the Services and supersede any and all other terms, representations, promises, or discussions.

3. Severability

If any provision of this Agreement is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity will not render this Agreement unenforceable or invalid as a whole, and such provisions will be deleted without affecting the remaining provisions herein.
